HAP'S
ALLEY CHARTER & BYLAWS
AS
OF JUNE 5, 2005
Article 1:
Name
The
name of this organization shall be “Hap’s Alley #204” chartered
by the World Clown Association in November of 1992.
Article
2: Purpose
The
purpose is to be an affiliation of any persons wishing to
promote and be educated in and serves the noble profession of the
clown arts.
Article
3: Membership Eligibility
A:
Any person of any age being acceptable to the general
membership and having completed a membership application.
B:
A person in good standing must have paid up dues and have attended
at least one alley meeting or participated in one alley event per
year.
C:
Only
those members in good standing and are
the age of sixteen and over will have voting rights as pertain to
alley policy and elections.
D:
All members in good standing, regardless of age, have the right to be
heard on any issue concerning alley policy.
E.
A person who has paid their dues but is unable to for-fill article 3
– section B, will be considered a friend of the alley.
Article
4: Dues and Fees
A:
Dues shall be $15.00 a year, with the exception of a one-time
application fee of $5.00 collected at the time of application.
B:
A due’s fee of one half the standard will be charged to each
additional family member in the same residence.
The $5.00 application fee still applies to all seeking
membership in the alley.
C:
Dues are due as of January 1 each year with the exception of those
joining the alley after the first of October.
They shall be granted a full year’s membership as of January
the following year. This
amendment was adopted at the December 1993 meeting.
D:
If dues are not paid by the February meeting, a $5.00 late fee will be
applied. If not paid by
the March meeting, the member will be removed from both the membership
list and the website.
E.
Any guest coming to the alley for the first time shall be let in free.
For any visits after that, there will be a fee determined by the current officers.
F.
On special occasions, such as a guest speaker, the alley’s officers
reserve the right to charge an additional fee to both members and
guests.
Article
5: Meetings
A:
Meetings shall be conducted monthly at a time and place acceptable to
the general membership, as determined by the executive board.
Article
6: Officers & Duties
A: President or Boss Clown
This
person is the chief officer of the alley and shall preside at all
meetings when in attendance, and shall oversee and help all other
officers as needed. The
term of the office shall be one year, not to exceed two terms.
A person may be reelected to office after being out of office
for at least one term.
B:
Vice-President
The
vice-president shall act as the Boss clown in the absence of the
President. The VP is
responsible along with the secretary for the annual report to the
World Clown Association. The
VP will also be held responsible for other duties as deemed necessary
by the President. This includes being in charge of our annual
birthday party. There shall be the same term limitations as apply
to the President.
C:
Secretary
The
secretary shall be responsible for the taking of minutes of all
meetings or appointing someone in their absence.
The secretary will handle all correspondence for the alley, and
will work with the VP on the annual report to the WCA. The term of
office is unlimited.
D:
Treasurer
The
treasurer shall handle all moneys of the alley with a monthly report
of income and other expenses. The
treasurer is also responsible for the collection of all dues and fees
and the distribution of membership cards.
This officer will keep the President and Sergeant at Arms
appraised of a member’s status. Any checks written by the
treasurer must be approved by the President.
Any entertainment or funds over $100.00 must have club
approval. The term of
office is unlimited.
E.
Sergeant at Arms
The
Sergeant at Arms shall have all members and guests register at all
meetings and functions. They
shall also check the status of any member in question.
They shall help maintain order at all alley functions.
They will perform other duties as required by the President or
executive board. The
Sergeant at Arms is in charge of counting all ballots with another
member appointed by the President. The term of office is unlimited.
F:
Members at Large
Members
at large is composed of two elected members.
Their responsibility is to be part of the executive board and
to fill in for any missing officer.
They are also responsible for meeting refreshments.
The term of office is unlimited.
G.
Executive Board
The
executive board shall comprise of two elected members and all elected
officers and the immediate past President.
It will be their responsibility to set policy for the alley in
concurrence with the general membership.
H:
Removal of an Officer
An
officer may be removed for not doing their job.
Members shall first offer help and if no improvement occurs, a
2/3 majority of voting members at a general meeting will then be
required to remove this officer.
Article
7: Appointed Positions
A: Librarian
This
is an appointed position. The
only requirement being that the individual must be a member in good
standing. The librarian
shall have charge of alley books, periodicals, and videos, etc. The
librarian is responsible for the check in and check out of said
materials. The librarian
shall be responsible for the collection of fees and fines as imposed
by the alley. These funds
shall be used for the care of said materials and the procurement of
additional materials.
B:
Historian
This
is an appointed position. The historian’s job is to keep records,
pictures, and articles of alley events to be kept in an alley
scrapbook.
C:
Sunshine
This
is an appointed position. The
sunshine person’s job is to inform the general membership of any
illnesses or concerns of other members.
They also will send out cards or flowers as needed.
D:
Web Master
This
is an appointed position. The
web master is in charge of updating and maintaining the alley website.
